9. Exclusive Binding Arbitration

Except where prohibited by applicable law, any and all disputes, claims, or controversies, whether based in contract, statute, regulation, tort (including negligence), fraud, misrepresentation, or any other legal or equitable theory, arising out of or relating to this Acceptable Use Policy, the Site, or the Services (collectively, "Disputes"), shall be resolved exclusively through final and binding arbitration, rather than in court.

Notwithstanding the foregoing, AEGISADA may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or system security, without waiving its right to arbitration for all other Disputes.

Arbitration shall:

  • Be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules
  • Be conducted by a single arbitrator
  • Take place in Prince George's County, Maryland, unless AEGISADA agrees otherwise in writing
  • Be conducted in the English language

The arbitrator shall have exclusive authority to resolve any Dispute, including issues relating to the scope, enforceability, or formation of this arbitration agreement. The arbitrator may award any relief available under applicable law, except that the arbitrator may not award relief on a class, collective, or representative basis.

The arbitration award shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction.

Confidentiality of Arbitration

The arbitration proceedings, including without limitation the existence of the arbitration, all submissions, pleadings, evidence, testimony, transcripts, orders, and awards, shall be strictly confidential and shall not be disclosed to any third party except:

  • As required by applicable law or regulation,
  • To enforce or challenge the arbitration award in a court of competent jurisdiction, or
  • To the extent necessary for AEGISADA to protect its legal rights or comply with lawful requests from governmental or regulatory authorities.

Each party shall take reasonable measures to maintain the confidentiality of the arbitration proceedings.

Costs and Fees

To the fullest extent permitted by applicable law, the user shall be solely responsible for all costs and expenses of arbitration, including but not limited to:

  • Arbitration filing fees
  • Administrative fees
  • Arbitrator fees
  • Expert witness fees
  • Attorneys' fees and costs incurred by AEGISADA

The arbitrator shall have authority to award costs, fees, and expenses in favor of AEGISADA as permitted by applicable law and this Policy.

Nothing in this section shall limit AEGISADA's right to seek recovery of costs and fees to the maximum extent allowed by law.

Consumer Exception

If you are a consumer (i.e., an individual using the Services primarily for personal, family, or household purposes), the arbitration provisions above apply except to the extent prohibited by applicable consumer protection laws. In such cases:

  • You may opt out of arbitration within 30 days of first using the Services by sending written notice to [email protected]
  • Arbitration fees shall be allocated in accordance with applicable consumer protection law, and you shall not be required to bear costs that exceed legal limits
  • All other arbitration terms, including confidentiality and waiver of class actions, apply to the maximum extent permitted by law

10. Waiver of Jury Trial and Class or Representative Actions

EACH PARTY IRREVOCABLY AND KNOWINGLY WAIVES ANY RIGHT TO A TRIAL BY JURY in any action, proceeding, or counterclaim arising out of or relating to this Policy, the Site, or the Services, whether such action is brought in arbitration or in court where arbitration is not required.

To the maximum extent permitted by applicable law:

  • All Disputes must be brought solely on an individual basis
  • No Dispute may be brought as a class, collective, consolidated, or representative action
  • No arbitrator or court may consolidate claims or preside over any form of representative proceeding

If any portion of this class action waiver is found unenforceable, the unenforceable portion shall be severed, and the remaining provisions shall remain in full force and effect.

This Acceptable Use Policy and any Dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict of law principles.

AEGISADA Payment & Billing Terms

These Payment & Billing Terms ("Terms") govern all payments, billing, and financial transactions for the subscription services offered by AEGISADA. By using the Services, you agree to these Terms.

1. Payment Processor

All payments for subscriptions to AEGISADA are processed securely through Stripe, a third-party payment processor. By submitting payment information, you authorize Stripe and AEGISADA to process payments for the Services.

AEGISADA does not store full payment card details. All sensitive payment data is managed securely by Stripe in accordance with applicable industry standards, including PCI DSS compliance.

2. Subscription Billing

  • Subscription fees are billed monthly, in advance, according to the plan you select at signup.
  • You agree to pay all charges associated with your account, including applicable taxes, fees, or other charges.
  • Billing will recur automatically on the same day each month unless you cancel the subscription.
  • If a billing date falls on a day that does not exist in a given month (e.g., the 31st), the charge will occur on the last day of that month.

3. Payment Methods

  • Accepted payment methods: credit/debit cards and any other payment methods supported by Stripe.
  • You must always maintain a valid payment method on file.
  • If payment fails, your access to the Services may be restricted or suspended until payment is successfully processed.

4. Taxes

You are responsible for all applicable taxes, duties, and other governmental assessments associated with your subscription. AEGISADA may collect and remit taxes as required by law.

5. Billing Disputes

  • Any billing errors or disputes must be reported within 30 days of the charge.

6. Account Responsibility

AEGISADA reserves the right to suspend or terminate access for users who fail to pay subscription fees. No refund will be provided for any portion of the paid subscription period.

AEGISADA Refund & Cancellation Policy

This Refund & Cancellation Policy ("Policy") applies to all subscription services provided by AEGISADA. By subscribing to the Services, you agree to the terms outlined below.

1. No Refunds

All payments for subscription services are non-refundable. Once a payment is processed, it will not be reversed or returned under any circumstances, except where required by law.

This includes, without limitation:

  • Monthly subscription fees
  • Upgrades, add-ons, or service enhancements

By subscribing, you acknowledge and accept that all charges are final.

2. Cancellation of Subscription

You may cancel your subscription at any time through your account settings. Cancellation will prevent further automatic payments at the end of your current billing period.

Upon cancellation:

  • You retain full access to the Services until the end of the current billing period.
  • Your subscription will not automatically renew after the current period ends.
  • No additional charges will be incurred beyond the current period.

3. Continuation of Access

After cancellation, you will continue to have access to AEGISADA services until the day your current subscription period ends. For example:

If your monthly subscription is billed on the 1st of each month and you cancel on the 15th, you may continue using the Services until the last day of the month.

If your monthly subscription is billed on the 31st day of the month and the following month ends on the 28th day, your canceled subscription will end on the 28th day of the month.

4. Changes to Billing

AEGISADA reserves the right to:

  • Modify subscription fees or billing methods with prior notice
  • Adjust billing in accordance with promotional offers or trial periods

Any changes will not affect payments already processed.
